1. Agreement to Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Saafi Systems ("Company," "we," "our," or "us") governing your access to and use of our website, software applications, and services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

Important Notice: These Terms contain provisions that limit our liability and require you to resolve disputes through arbitration on an individual basis and not as part of any class or representative action.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use our Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using our Services under applicable laws
  • Represent an organization with authority to bind that organization to these Terms (for institutional accounts)

2.2 Account Registration

To access certain features of our Services, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

2.3 Institutional Accounts

If you are accessing our Services through an institutional account (school, hospital, business), your use is also governed by your institution's agreement with us. In case of conflict, the institutional agreement takes precedence.

  • Billing and insurance claim processing
  • Healthcare provider collaboration tools

3.3 Human Resources & ERP Portals

  • Employee information and personnel management
  • Payroll processing and compensation management
  • Leave and attendance tracking
  • Performance evaluation and review systems
  • Recruitment and onboarding tools
  • Enterprise resource planning integration

3.4 Mobile Applications and Web Development

  • Custom mobile application development
  • Web application design and development
  • Digital marketing and online presence solutions
  • IT training and consultancy services

Service Availability: We strive to provide continuous service availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our Services with or without notice.

4. User Obligations and Acceptable Use

4.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable local, national, or international law or regulation
  • Infringe upon the intellectual property rights of others
  • Transmit any harmful, threatening, abusive, harassing, defamatory, or obscene content
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
  • Use any automated system (bots, scrapers, crawlers) to access the Services without our written permission
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Remove, alter, or obscure any proprietary notices from the Services
  • Use the Services to transmit viruses, malware, or any other malicious code

4.2 Data Accuracy and Compliance

You are responsible for:

  • The accuracy, quality, and legality of all data you submit to our Services
  • Obtaining all necessary consents and permissions for data collection and processing
  • Complying with all applicable data protection and privacy laws
  • Ensuring that your use of the Services complies with your institution's policies

4.3 Professional Use

If you are using our Services in a professional capacity (educator, healthcare provider, HR professional), you agree to maintain appropriate professional standards and comply with all applicable professional regulations and codes of conduct.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, images, audio, video, and design) are owned by Saafi Systems or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Services for your intended purpose
  • Download and print materials from the Services for personal or internal business use

This license does not include any right to:

  • Resell or make commercial use of the Services or content
  • Modify, reproduce, or create derivative works
  • Download or copy account information for the benefit of another party
  • Use data mining, robots, or similar data gathering tools

5.2 Your Content

You retain all ownership rights to the content you submit to our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving our Services.

You represent and warrant that:

  • You own or have the necessary rights to the User Content
  • The User Content does not violate any third-party rights
  • The User Content complies with these Terms and applicable laws

5.3 Feedback

If you provide us with any feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without any obligation to you.

6. Payment Terms and Subscriptions

6.1 Fees and Charges

Access to certain Services may require payment of fees. All fees are stated in US Dollars (USD) or local currency as applicable and are subject to change with 30 days' notice.

6.2 Subscription Plans

Our Services may be offered through various subscription plans:

  • Monthly Subscriptions: Billed monthly in advance
  • Annual Subscriptions: Billed annually in advance, often at a discounted rate
  • Enterprise Plans: Custom pricing based on specific requirements

6.3 Payment Methods

We accept payment through:

  • Credit and debit cards (Visa, Mastercard, American Express)
  • Bank transfers and wire transfers
  • Mobile money services (where available)
  • Other payment methods as agreed upon

6.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee unless you cancel your subscription.

6.5 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings
  • Cancellations take effect at the end of the current billing period
  • We do not provide refunds for partial subscription periods except as required by law
  • Custom development projects may have different cancellation and refund terms as specified in your contract

6.6 Late Payments

Failure to pay fees when due may result in suspension or termination of your access to the Services. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

7. Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.1 Data Processing

By using our Services, you acknowledge and agree that:

  • We will process your data in accordance with our Privacy Policy
  • We may use third-party service providers to process data on our behalf
  • Data may be transferred to and stored in countries outside your jurisdiction
  • We implement appropriate security measures to protect your data

7.2 Data Security

While we implement industry-standard security measures, you acknowledge that no method of transmission or storage is 100% secure. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

7.3 Data Backup and Recovery

We perform regular backups of your data. However, you are encouraged to maintain your own backups of critical information. We are not liable for any data loss except as expressly stated in your service agreement.

8. Service Level and Technical Support

8.1 Service Availability

We strive to maintain 99.5% uptime for our Services, excluding scheduled maintenance. Scheduled maintenance will be announced at least 48 hours in advance when possible.

8.2 Technical Support

Technical support is provided based on your subscription level:

  • Basic Support: Email support during business hours (response within 48 hours)
  • Standard Support: Email and phone support during business hours (response within 24 hours)
  • Premium Support: Priority support with dedicated account manager (response within 4 hours)
  • Enterprise Support: 24/7 support with guaranteed response times as per SLA

8.3 Maintenance and Updates

We reserve the right to:

  • Perform scheduled maintenance during off-peak hours
  • Deploy updates, patches, and new features
  • Make emergency changes to address security or performance issues

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that:

  • The Services will perform substantially in accordance with our documentation
  • We will provide the Services with reasonable skill and care
  • We have the right to provide the Services to you

9.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

9.3 Third-Party Services

Our Services may integrate with or link to third-party services. We do not control and are not responsible for third-party services, content, or practices. Your use of third-party services is at your own risk.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAAFI SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of substitute services

10.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

10.3 Exceptions

The limitations in this section do not apply to:

  • Our obligations under applicable data protection laws
  • Liability for death or personal injury caused by our negligence
  • Liability for fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded by law

11. Indemnification

You agree to indemnify, defend, and hold harmless Saafi Systems, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through account settings
  • Contacting our support team
  • Providing written notice of termination

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if:

  • You breach these Terms
  • You fail to pay fees when due
  • Your use of the Services poses a security risk
  • We are required to do so by law
  • We decide to discontinue the Services

12.3 Effect of Termination

Upon termination:

  • Your right to access and use the Services immediately ceases
  • We may delete your account and data after 30 days (unless required to retain by law)
  • You remain liable for all fees incurred prior to termination
  • Provisions that by their nature should survive termination will continue to apply

12.4 Data Export

You may export your data within 30 days of termination. After this period, we may permanently delete your data unless required to retain it by law.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@saafisystems.com to attempt to resolve the issue informally. We will attempt to resolve the dispute within 60 days.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Somaliland, without regard to its conflict of law provisions.

13.3 Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the arbitration rules of Somaliland, except as otherwise provided herein.

13.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE ACTION.

13.5 Exceptions to Arbitration

Either party may seek injunctive relief in court for:

  • Intellectual property infringement
  • Unauthorized access to the Services
  • Violation of confidentiality obligations

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Saafi Systems regarding the Services.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

14.3 Waiver and Severability

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. If any provision is found to be unenforceable, the remaining provisions will remain in full effect.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to embargo and are not on any list of prohibited or restricted parties.

14.7 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

15. Service-Specific Terms

15.1 School Management Systems

Additional terms for educational institutions:

  • Schools are responsible for obtaining parental consent for student data collection
  • Schools must comply with FERPA, COPPA, and other applicable educational privacy laws
  • We act as a service provider and process student data only on behalf of the school
  • Student data will not be used for advertising or marketing purposes

15.2 Electronic Medical Records (EMR) Systems

Additional terms for healthcare providers:

  • Healthcare providers must comply with HIPAA, HITECH, and other applicable health privacy laws
  • We implement appropriate safeguards for protected health information (PHI)
  • A Business Associate Agreement (BAA) is required for HIPAA-covered entities
  • Healthcare providers are responsible for obtaining patient consent as required by law

15.3 HR & ERP Systems

Additional terms for employers:

  • Employers are responsible for compliance with employment and labor laws
  • Employee data must be processed in accordance with applicable privacy laws
  • Employers must obtain necessary consents for employee data processing
  • We process employee data only as instructed by the employer

16. Acknowledgment and Acceptance

BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.

These Terms constitute a legally binding agreement between you and Saafi Systems. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
